Terms and Conditions Effective Date: 25.02.2026 These Terms and Conditions (“Terms”) govern access to and use of the services provided by TILF LTD, company number 15804474, registered office at 71–75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ (“TILF”, “we”, “us”, “our”). By accessing, using, subscribing to, or paying for the Services, you agree to be bound by these Terms.

  1. Definitions and Interpretation “Services” means the AI-assisted educational tools, essay marking systems, feedback tools, analytics services, and related functionality provided by TILF. “Customer” means any Educational Institution or individual purchasing or subscribing to the Services. “Educational Institution” means a school, academy, trust, college or other educational body contracting with TILF. “Direct User” means an individual (including a student or teacher) accessing the Services independently and not under a contract between TILF and an Educational Institution. “School Personal Data” means personal data processed by TILF on behalf of an Educational Institution. References to legislation include amendments and successor legislation.
  2. Formation of Agreement 2.1 These Terms form a binding agreement between TILF and the Customer. 2.2 Acceptance occurs upon: Payment of an invoice; Subscription to the Services; Accessing or using the Services.

2.3 If you are entering into this agreement on behalf of an organisation, you confirm you have authority to bind that organisation. 3. Scope of Roles 3.1 Educational Institutions (B2B) Where Services are provided to an Educational Institution: The Educational Institution acts as Data Controller. TILF acts as Data Processor in respect of School Personal Data.

Section 11 (Data Protection – Educational Institutions) applies. 3.2 Direct Users (B2C) Where Services are provided directly to individuals, TILF acts as Data Controller for personal data processed in that context. Processing is governed by our Privacy Policy. 4. Licence and Access 4.1 TILF grants the Customer a limited, non-exclusive, non-transferable right to access and use the Services for educational purposes. 4.2 The Customer must not: Reverse engineer the platform; Scrape or copy content; Use the platform to train external AI systems; Upload unlawful or infringing material. 5. AI-Specific Terms 5.1 AI-generated outputs are provided as assistive tools only. 5.2 TILF does not guarantee: Accuracy, Completeness, Examination outcomes, Academic performance improvements.

5.3 Users remain responsible for reviewing and validating outputs before reliance. 5.4 TILF may use multiple AI model providers in delivering the Services. 6. User Content and Public Publishing 6.1 Users may voluntarily publish essays or content publicly. 6.2 By publishing content, the user: Confirms they have authority to do so; Grants TILF a non-exclusive licence to host and display the content. 6.3 Public content remains visible until removed by the user. 6.4 TILF is not responsible for third-party reuse of publicly published content. 7. Intellectual Property 7.1 All intellectual property in the Services remains the property of TILF. 7.2 Users retain ownership of content they upload. 7.3 Except for limited rights granted under these Terms, no rights are transferred. 8. Confidentiality 8.1 Each party agrees to keep confidential information secure and not disclose it except as required by law. 8.2 Confidential information does not include information that is public, independently developed, or lawfully obtained. 9. Fees and Payment 9.1 Fees are as agreed in writing or displayed at purchase. 9.2 Payment terms are as stated on invoice. 9.3 Fees are non-refundable unless agreed in writing. 10. Product Changes 10.1 TILF may modify, update, suspend or discontinue any part of the Services at its discretion. 10.2 TILF shall use reasonable efforts not to materially disrupt active subscriptions. 11. Data Protection – Educational Institutions (Article 28 UK GDPR) This section applies only where TILF processes School Personal Data on behalf of an Educational Institution. 11.1 Processing on Instructions TILF shall process School Personal Data only on documented instructions of the Educational Institution. 11.2 Confidentiality Personnel processing School Personal Data are subject to confidentiality obligations. 11.3 Security TILF implements appropriate technical and organisational measures to protect School Personal Data. 11.4 Sub-processing The Educational Institution grants general authorisation for TILF to appoint sub-processors. TILF shall: Impose equivalent data protection obligations; Remain responsible for sub-processor processing. 11.5 Assistance TILF shall reasonably assist with: Data subject rights requests; Data protection impact assessments; Regulatory enquiries. 11.6 Personal Data Breaches TILF shall notify the Educational Institution without undue delay upon becoming aware of a breach affecting School Personal Data. 11.7 Deletion or Return Upon termination: School Personal Data shall be deleted or returned within 30 days; Backup deletion shall occur within 90 days. 12. Retention 12.1 Direct User data is retained while accounts remain active. 12.2 Upon verified deletion request: Data will be deleted within 30 days; Backups cleared within 90 days. 13. Warranties and Disclaimer 13.1 Services are provided “as is”. 13.2 TILF does not warrant: Uninterrupted availability; Error-free operation; Suitability for specific exam boards.

13.3 All implied warranties are excluded to the fullest extent permitted by law. 14. Limitation of Liability 14.1 Nothing excludes liability for: Death or personal injury caused by negligence; Fraud or fraudulent misrepresentation.

14.2 Subject to 14.1, TILF’s total aggregate liability shall not exceed the total fees paid by the Customer in the 12 months preceding the claim. 14.3 TILF shall not be liable for: Indirect or consequential loss; Loss of profits; Loss of business opportunity; Reputational damage. 15. Suspension and Termination 15.1 TILF may suspend access for: Non-payment; Security risk; Material breach.

15.2 Either party may terminate in accordance with subscription terms. 15.3 Data handling upon termination is governed by Section 11 and Section 12. 16. Force Majeure TILF shall not be liable for delays or failure due to events beyond reasonable control. 17. Assignment The Customer may not assign this agreement without written consent. TILF may assign to a successor in the event of merger or sale. 18. Notices Notices must be sent by email or to the registered office address. 19. Entire Agreement These Terms constitute the entire agreement and supersede prior discussions. 20. Severability If any provision is invalid, the remainder remains in effect. 21. Waiver Failure to enforce any right shall not constitute waiver. 22. Third Party Rights No third party shall have rights under the Contracts (Rights of Third Parties) Act 1999. 23. Governing Law These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
